Purpose

The Redcliffe Wharf site has remained vacant
and undeveloped for many years. The site is in the freehold
ownership of the Council, and the land forms part of the Harbour
estate. In 2012, having undertaken a selection process, the Council
selected a private sector development partner, Complex Development
Projects Ltd (CDP), who entered into a conditional Agreement for
Headlease with the Council in 2015.
Planning consent was granted in April 2021 for 43 flats (3
affordable), approx. 60,000 sq. ft offices, ground floor
retail/leisure, 12 moorings and high-quality public realm. In
October 2022, Cabinet “Authorised the Executive Director
Growth and Regeneration in consultation with the Mayor to take all
steps required to enter into the grant funding agreement and to
accept, draw down and use the £515,000 grant to deliver the
quality works as outlined in this report”. Implementation of
planning consent was commenced in April 2024.
CDP assigned their interest to Redcliffe Wharf (Bristol) Limited
(RWBL), a joint venture company between CDP and Generator Group.
RWBL was dissolved in July 2024 (pursuant to its application to be
struck off).
To date, there remain at least two conditions precedent within the
Agreement For Headlease which have not been satisfied, and which
entitle the Council to terminate the Agreement and recover
possession. RWBL has been dissolved so any notice will have to be
sent to the Treasury Solicitor on behalf of the Crown. A second
“without prejudice” notice will also be served on CDP
and copy both notices to the solicitors who acted for them.
One Public Estate has confirmed that the land release trigger date
of March 2026 cannot be extended and the BLRF would need to be
returned by the end of the current financial year.
Approval is therefore sought to serve notice and terminate the
Agreement for Headlease with RWBL and return the BLRF.
