Purpose

The City of Doncaster Council part own
Efficiency North Holdings as a mutual not for profit organisation
and as such when there are proposals to the Articles of Association
are required, as per the Companies Act, to sign as part of a wider
group so that this can be undertaken by formal Special
Resolution.

The primary changes to the Articles are:
• To merge the Programme Based and Added Value Member Director
categories into one category, Member Directors, and to remove the
relationship between Member trading and Director appointment,
making application and appointment open to all Members not already
represented at the Efficiency North Holdings Limited Board.
• Removal of the Chair’s casting vote.
• The requirement that Member Directors need to be in the
majority for any Board meeting to be quorate.
• The requirement that the quorum for General Meetings
requires the attendance of at least 5 Members (changed from the
existing quorum requirement of 50% of Members).
• The Chair and Chief Executive can be a non -executive
representative of a Member, and
• The inclusion of the Senior Member Director role within the
Articles to formalise the good governance arrangements already in
place.
Subsequently there is no risk or change in ownership to the Council
by the proposed amendments. The changes are primarily
administrative improvements.
