Decision

To progress the transfer of GBCH shares in NDH to the Council and then proceed with the winding up of the Company by the liquidators.

Reasons for the decision

GBCH owns the shares in the subsidiary company of NDH and prior to GBCH being wound up, it is necessary for those shares to transfer from GBCH to GBC. Thereafter steps can be taken to wind up GBCH leaving GBC with a direct relationship with NDH.
The legal documentation to transfer the shares to the ownership of GBC, has now been prepared and as per the ES&TC delegation, whilst the role of SD Transformation & Governance no longer exists, the authority to implement has transferred to Susan Sale, in consultation with the Leader of the Council.
