RESOLVED:
 
1. 
Noted the Annual Report of Companies and their
financial performance up to the accounting period ended 31st March
2023.

 
2. 
Noted the Interim Group Director, Finance’s
nominations for the positions of Company Directors and Company
Secretaries as follows:
 
a. 
Deirdre Worrell - Director of the Housing Group of
Companies
b. 
Deirdre Worrell - Director of the Otto and the Makers
Management Companies
c. 
GeetaSubramaniam-Mooney as Director of
HCS (London) Limited
d. 
The Company Director role of the three Housing
Companies be vested in the role of Director, Economy, Regeneration
and New Homes
e. 
Hackney Legal & Governance Services to take on the
Company Secretary role for the three Housing Companies
 
REASONS FOR DECISION:
 
The Council is the sole shareholder of the
companies and the business plans developed and proposed by the
Directors are based on the shareholders objectives and
priorities.
 
DETAILS OF ALTERNATIVE OPTIONS CONSIDERED AND
REJECTED:
 
No other options were considered, under
Section D of the Council’s constitution an Annual Report on
companies owned by the Council is a requirement. This is part of
the Governance arrangements in respect of the oversight of the
activities of these companies.
