Decision

That the Director of People and Organisation:
1.1 In accordance with paragraph 1.1(a) of the delegated authority given by the Executive Member for Corporate Services at its meeting of 25 June 2026, (and in consultation with the Chief Executive, the Director of Corporate Operations and the Deputy Director - Monitoring Officer and Legal Services), exercise their delegation for the County Council in its capacity as member of the Manydown Garden Communities LLP (MGC LLP) and MGC LLP as member of the Manydown Development Vehicle LLP (MDV LLP) to enter into the Facility Agreement with the National Housing Bank Ltd to secure the agreed loan facility to support the delivery of the Manydown North site in Basingstoke and having concluded the detailed negotiations, having regard to the external legal advice report (provided in Appendix 1 to the exempt Decision Report) authorises the execution and completion of the Facility Agreement with the National Housing Bank Ltd on the basis set out in the Decision Report.
1.2 In accordance with paragraph 1.1(b) of the delegated authority given by the Executive Member for Corporate Services at its meeting of 25 June 2026, (and in consultation with the Chief Executive, the Director of Corporate Operations and the Deputy Director - Monitoring Officer and Legal Services), exercise their delegation for the County Council for itself, as a member of the Manydown Garden Communities LLP (MGC LLP) and MGC LLP as member of the Manydown Development Vehicle LLP (MDV LLP) to enter into the Direct Agreement with the National Housing Bank Ltd to secure the agreed loan facility to support the delivery of the Manydown North site in Basingstoke and having concluded the detailed negotiations, having regard to the external legal advice report (provided in Appendix 1 to the exempt Decision Report) authorises the execution and completion of the Direct Agreement with the National Housing Bank Ltd to secure the agreed loan facility to support the delivery of the Manydown North site in Basingstoke on the basis set out in the Decision Report.
1.3 In accordance with paragraph 1.1(c) of the delegated authority given by the Executive Member for Corporate Services at its meeting of 25 June 2026, (and in consultation with the Chief Executive, the Director of Corporate Operations and the Deputy Director - Monitoring Officer and Legal Services), exercise their delegation for the County Council as a member of the Manydown Garden Communities LLP (MGC LLP) to grant a first ranking charge to the National Housing Bank Ltd in respect of the development site at Manydown North, Basingstoke and having concluded the detailed negotiations, having regard to the external legal advice report (provided in Appendix 1 to the exempt Decision Report) authorises the execution and completion of the Legal Charge on the basis set out in the Decision Report.
1.4 In accordance with paragraph 1.1(d) of the delegated authority given by the Executive Member for Corporate Services at its meeting of 25 June 2026, (and in consultation with the Chief Executive, the Director of Corporate Operations and the Deputy Director - Monitoring Officer and Legal Services), exercise their delegation for the County Council for itself, as a member of the Manydown Garden Communities LLP (MGC LLP) and MGC LLP as member of the Manydown Development Vehicle LLP (MDV LLP) as appropriate to enter several security agreements and procedural documentation required by the National Housing Bank Ltd as referenced in paragraphs 35 – 37 of the Executive Member for Corporate Services 24 March 2026 decision day report and having concluded the detailed negotiations, having regard to the external legal advice report (provided in Appendix 1 to the exempt Decision Report) and the specific King’s Counsel opinion relating to the grant of a Power of Attorney (provided in Appendix 2 to the exempt Decision Report) authorises the execution and completion of these agreements and documentation together with any other agreements or documents as may be required in connection with the grant of the Facility Agreement.
1.5 In accordance with paragraph 1.1(e) of the delegated authority given by the Executive Member for Corporate Services at its meeting of 25 June 2026, (and in consultation with the Chief Executive, the Director of Corporate Operations and the Deputy Director - Monitoring Officer and Legal Services), exercise their delegation for the County Council for itself, as a member of the Manydown Garden Communities LLP (MGC LLP) and MGC LLP as member of the Manydown Development Vehicle LLP (MDV LLP) to revise the MDV LLP Members’ Agreement, MGC LLP Members’ Agreement, Development Agreement and Land Agreement, and to enter into the additional documents as summarised or listed in paragraph 38 of the Executive Member for Corporate Services 24 March 2026 decision day report and any other agreements and documentation as may be required in connection with the Facility Agreement, and having finalised revisions to these agreements and form of other agreements and documents having regard to the external legal advice (provided in Appendix 1 to the exempt Decision Report) authorises the execution and completion of these revised agreements and additional documents together with any other agreements or documents required in connection with the grant of the Facility Agreement.
