Purpose

The Authority entered into a Joint Venture arrangement to deliver Housing, Repairs and Maintenance Services on 1 April 2009 with the Kier Group Plc. This arrangement was facilitated by the establishment of a company called Kier North Tyneside Limited (“the Company”) incorporated on 8 June 2009. The Kier Group Plc hold 80% of the shares in the Company with the Authority holding the remaining 20%. A contract for services was entered into by the Authority and the Company on 7 September 2009 with this contract ending on 31 March 2019. As the Company ceased trading in 2019 and has therefore been ‘dormant’ for many years it is now appropriate for the Shareholders to authorise the Directors of the Company to voluntarily wind-up the Company.
