Purpose

The consent of the Council, as the
sole shareholder of Peterborough Limited (PL) (who in turn is sole
member of Peterborough Culture, Heritage, Learning and Leisure Ltd
– PCHLL), is required in order for the Companies to take
certain actions. The Reserved Matters, requiring the
Council’s consent, are detailed within a Member Agreement
between the Council, PL and PCHLL. As and when either Company wish
to make any decision, determination, provide any approval or pass
any resolution in connection with any Reserved Matter they must
first obtain the written consent of the Council. The reserved
matters include the appointment of registered directors of the
Companies. This report is to approve the appointment of a new
director of PCHLL.

appointment of Ian Rowe as a registered Director of Peterborough
Culture, Heritage, Learning and Leisure Ltd (PCHLL).
