Purpose

 To seek consent to enable certain contractual
arrangements to be entered into in order to successfully transfer
Aragon services from Peterborough Limited into the Council on the
1st of April 2026.

Decision

Cabinet RESOLVED to:

1.    
Authorise entering into deeds of
novation and/or variation between the council, Peterborough Limited
and relevant suppliers, to novate (and, if applicable, vary) the
supplier contracts detailed within Annex 1 from Peterborough
Limited to the council;

2.    
Authorise the award and entry into
of the supplier contracts as set out in Annex 2;

3.    
Authorise entering into contracts
for the council to deliver services to third parties at a charge as
set out in Exempt Annex 3;

4.    
Authorise entering into an Exit
Agreement with Peterborough Limited in relation to the insourcing
of the OSA;

5.    
Delegate authority to the
Executive Director for Place and Economy, in consultation with the
Director of Law and Governance, the Executive Director of Corporate
Services and the Cabinet Member for Environment and Transport
to:

a.    
Authorise entering into
appropriate documentation with the pension fund (Cambridgeshire
County Council) and Peterborough Limited in relation to
Peterborough Limited’s admission agreement/pass through
agreement, in relation to any ongoing LGPS provision by
Peterborough Limited (if applicable);

b.    
Authorise the payment of a
termination sum to Peterborough Limited in line with contract
provisions and subject to the amount not exceeding the available
budget;

c.     
Authorise entering into any
necessary documentation with Peterborough Limited to enable any
relevant warranties or guarantees to be assigned/novated to the
council;

d.    
On behalf of the council, as
shareholder of Peterborough Limited, issue directions and notices
to Peterborough Limited, exercise its vote and give such consent as
may be required to give effect to these recommendations and/or to
facilitate the insourcing of the OSA;

e.    
Negotiate and authorise entry into
such further documentation (including the award of or entry into
additional contracts), issue notices and take all other steps, as
are reasonably necessary in the view of the Executive Director for
Place and Economy, to facilitate and give effect to the
recommendations above and/or to facilitate the insourcing of the
OSA (save that this delegation shall not apply in relation to
‘key’ decisions).
