Purpose

To agree the appointment of one
new Non-Executive Director to Southend Care Limited.

That Krishna Ramkhelawon,
Southend on Sea City Council Director of Public Health be appointed
as Non-Executive Director of the Southend Care Ltd. Board, as the
SCC nominated representative, for a period of 4 years from 1 April
2025. The maximum term will be 8 years and conditional on remaining
in employment with Southend on Sea City Council.

Reasons for the decision

The appointment of
Non-Executive Directors is a reserved matter for the
Shareholder.

Alternative options considered

Do nothing. This would result
in the Southend Care Ltd. Board not being able to appoint
replacement Non-Executive Directors and Southend on Sea City
Council nominating to the Board. The Company would not be able to
operate without a Board in place.
