Purpose

The report
sought Cabinet approval to agree to the novation of the Academy
Services Agreement for the existing Facilities Management (FM)
Services (Hard FM) Contract currently held between the Council and
Great Academies Education Trust (GAET), so that all contractual
rights, responsibilities, and obligations are transferred to Dixons
Academies Trust (DAT).

Content

RESOLVED

(i)           
To approve the
novation of the Academy Services Agreement dated 28 August 2009 for
the FM Services (Hard FM) at Great Academy Ashton from Great
Academies Education Trust to Dixons Academies Trust and the
entering into of the Deed of Novation documenting the terms of
novation, to include provisions as to all past liabilities
including any outstanding debts.

(ii)         
Delegate
authority to the Director of Legal Services, in consultation with
the Director of Children’s Services and Strategic Director of
Housing, Environment and Estates, to finalise the Deed of Novation
and any associated documentation which will include provisions as
to all past liabilities including any outstanding debts.

(iii)       
Approve the
granting of a 125-year lease on the previously agreed terms under
the Agreement for Lease.

(iv)       
The lease to be
backdated according to the terms of the lease to 23 August 2012 to
reflect the commencement date of occupation.

(v)         
To approve the
adoption of the revised boundary and red line plan as the lease
plan appended to this report.
