To APPROVE consenting to specific changes to the
Limited Partnership Agreements (LPA) of certain Private Funds,
including the assignment of
Investments Management Agreements; a Change of Control; waiver of
the requirement for Principals to control the General Partner;
limited amendments to the Limited Partnership Agreements but NOT
CONSENT to a carve out from “Affiliate” status;
and,

2.  
To DELEGATE authority to Neil
Cooper, Head of Pension Investments (Private Markets), to execute
any relevant documentation.
