To APPROVE certain
amendments of the Limited Partnership Agreement (LPA) of a Private
Fund, as described in the accompanying Exempt Decision Report and,
if applicable, to delegate authority to Neil Cooper, Head of
Pension Investments (Private Markets), to execute the relevant
documentation.
