Decision

To give
consent to We Are Juno to enter into loan agreements with Liverpool
City Region Combined Authority, and with an ethical lending bank
and a private finance company (both for which final terms are
currently being finalised).
Consent is given to waive the restriction within
the current loan agreement between Wirral Council and We Are Juno
preventing security being provided against assets to secure loans
from other organisations in respect of the loan from the private
finance company and for the modification of the current loan
agreement to sanction We Are Juno entering into further secured
loan arrangements with the approval of the Council (such approval
not to be unreasonably delayed or withheld).
The requirement within the loan agreement between
the Council and We Are Juno to seek consent in respect of loan
financing which may incur aggregate capital and interest loan
financing costs of £50,000 or more per annum is to remain in
place.
To request the Director of Law and Governance to
enter into such documents as may be necessary to give effect to
this agreement.
