Decision

The Chief Executive
has approved that 
 

(1) 
Lisa Newman– Assistant Director Housing Services and Mark
Stephen Goulding – Assistant Director of Finance (interim) be
appointed to the office of directors of Wirral Holdings
Limited;

 
(2) 
the resignation of the incumbent sole director be accepted;
and

(3) 
 the entitlement of Lisa Newman and Mark
Stephen Goulding to a full indemnity in respect of the performance
of their duties as directors of the Company in accordance with The
Local Authorities (Indemnities for Members and Officers) Order 2004
be acknowledged.
 

Reasons for the decision

The existing sole
director of this effectively dormant company, which is wholly owned
by the Council, has tendered his immediate resignation.  In the interests of good commercial practice, the
long term interests of the company and the council, and so as to
comply with the relevant provisions of the Companies Act 2006 it is
necessary to appoint replacement directors as a matter of
urgency.
 
The company will
remain effectively dormant for a further period of 8 or 9 years
until existing legal arrangements for it to assume effective
control of 500 residential properties come into effect but, in the
interim, will need to progress strategic decision making processes
for the future deployment of the company and its assets.
 
The company is also
available to participate in other commercial activities and should
have an effective and appropriate board so as to facilitate any
such activity.

Alternative options considered

None have been
considered as it would be inappropriate for the company to not have
at least one director as required by the provisions of the
Companies Act 2006.
