Purpose
This report requests the
Corporate Director of Resources & S151
Officer to approve the appointment
of Rose-Marie Louis, Head of Strategic Partnerships
and Development, as Director of Croydon Holdings
Ltd.
The report also requests the
approval of an indemnity in relation to
the aforementioned appointments and also for
the previous Director, Huw Rhy-Lewis who was previously
Interim Director of Property, Procurement and Capital at the
Council and who held multiple Director roles on behalf of
the Council on Council owned companies.
Content
For the reasons set out in the
report, the Corporate Director and Section 151
Officer AGREED to:
Exercise the
Council’s shareholder function in consultation with
the Chief Executive to approve the appointment
of Rose-Marie Louis, Head of Strategic Partnerships and
Development, as Director of Croydon Holdings
Ltd.
Approve indemnification of Rose Marie-Louis and
Huw Rhys-Lewis in the form provided in Appendix
A (Deed of Indemnity – Part B) for their
respective tenures as
Directors of Croydon Holdings
Ltd and in respect of Huw Rhys-Lewis’ tenure as
Director of Croydon Central Management Company
Ltd, Croydon TH Ltd and Croydon TH Commercial
Ltd.
Reasons for the decision
The Council is 100% shareholder
of Croydon Holdings Ltd. The Company was set up
to form a partnership with the Council for
London Borough of Croydon Holdings LLP
and subsequent Croydon Affordable Homes LLP and Croydon
Affordable Tenures LLP companies.
As this is a
Council company there is a responsibility to appoint
a Director to manage and lead on the operations of the
entities. Huw Rhys-Lewis was the previous Director
and no longer works at the Council. Huw has
independently submitted his resignation at Companies
House resulting in a breach by the Company for not having any
Directors registered currently. Rose-Marie Louis, Head of
Strategic Partnership and Development, is recommended
to be appointed to take over from
Huw Rhys-Lewis.
The previous appointments of Huw Rhys-Lewis as
Director of several Council owned companies requires a formal
indemnification, as this was the intention at the time of those
appointments.
Alternative options considered
As the only Director, Huw
Rhys-Lewis no longer works at the Council and has
formally resigned directly with Companies House. As sole
shareholder, the Council must appoint a new
Director. There are no other alternatives considered at this
stage.
The appointments of Huw
Rhys-Lewis to four companies explained in this report requires
a formal indemnification, as this was the intention at the time of
those appointments. There are no other alternatives considered
at this stage.
